Terms of Service

By accessing or using Aktuals (the "Service"), you agree to these Terms of Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Aktuals provides AI usage and productivity intelligence: a cloud platform and a downloadable desktop agent that processes AI coding/agent session data locally and uploads derived intelligence shaped by a privacy tier. The Service is currently in closed early access.

The Service is offered to and intended for users located in the United States only. It is not directed to, and should not be accessed or used by, persons located outside the United States.

The Service is provided during early access on an as-is, as-available basis. Features may change or be discontinued. No fees are charged during early access; any cost or "billing" figures shown are previews and estimates only, and nothing is billed.

You must provide accurate information, keep your credentials and any multi-factor authentication secure, and are responsible for activity under your account. Accounts are for individual people; do not share them. Notify us promptly of any unauthorized use.

An administrator who deploys the agent or invites members represents and warrants that they are authorized to do so, that they have the authority to process the relevant individuals' data through the Service, and that they will inform those individuals and obtain any consent required by applicable law. You are responsible for your organization's lawful use of the Service, including employment and data-protection obligations.

You may install the agent only on machines you own or are authorized to manage. The agent reads local AI-tool session files and local git metadata, redacts credentials on the device, and uploads privacy-tier-shaped derived records. You choose the privacy tier; the default is metrics-only.

You agree not to: use the Service unlawfully; attempt to access data you are not authorized to access; interfere with or disrupt the Service; reverse engineer it except to the extent permitted by law; or use it to monitor or profile individuals in violation of applicable law. The Service is designed to surface patterns and cohorts, not to rank or target individuals, and must not be used to do so unlawfully.

Your use of the Service is also governed by our Privacy Policy.

Aktuals and its licensors own the Service, the agent, and all related intellectual property. You retain all rights to your data. You grant Aktuals a limited license to process your data solely to provide, secure, and improve the Service for you. If you send us feedback, you grant us a license to use it without obligation to you.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Insights, effort figures, and any dollar-equivalent values are estimates for informational purposes and are not authoritative accounting or billing.

To the maximum extent permitted by law, Aktuals will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue. Our total liability for any claim relating to the Service will not exceed one hundred US dollars (US$100) during the early-access period.

You may stop using the Service at any time and uninstall the agent. We may suspend or terminate access if these Terms are violated or to protect the Service or its users. On termination, your right to use the Service ends; you may request export or deletion of your data as described in the Privacy Policy.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights in your place of residence.

We may update these Terms; material changes will be posted here with a new "last updated" date and, where appropriate, notified to account holders. Continued use after an update means you accept it.
